Terms & conditions
These terms govern the services Design NUX LLC provides and work alongside the proposal you accept for a specific engagement. Where a proposal and these terms differ, the proposal controls for that project.
Services
Design NUX provides branding, identity, website, software, application, animation and digital marketing services as described in an agreed proposal.
Project engagement and scope
Projects begin with consultation and a written proposal defining scope, timeline, fees and payment terms. Work begins when the proposal is accepted. Scope changes may incur additional fees.
Fees and payment
Fees and milestones are stated in the proposal. Unless otherwise agreed, a 50% deposit is due at commencement and the balance is due at completion.
Change of mind and refunds
Deposits and fees for work already commenced are non-refundable. Time, planning and resources are allocated when a project begins.
Copyright and ownership
Design work remains Design NUX property until full payment. After full payment, ownership of approved final deliverables transfers to the client, excluding third-party materials and licences.
Revisions and approvals
Included revision rounds are defined in the proposal. Additional revisions may be charged separately. Final approval must be supplied in writing.
Confidentiality
We keep confidential client information private and do not disclose it without permission except where required to deliver the services or comply with law.
Warranties and disclaimers
Services are performed with reasonable care and skill. Outcomes affected by third-party systems, platforms, algorithms or client actions cannot be guaranteed.
Limitation of liability
To the extent permitted by law, Design NUX’s total liability is limited to fees paid for the affected services and excludes indirect or consequential losses.
Termination
Either party may terminate as permitted by the proposal. Fees for completed work and committed costs become immediately due on termination.
Governing law and disputes
These terms are governed by the laws of the State of New York. Disputes should first be addressed through good-faith negotiation and then binding arbitration where required.
Entire agreement
The accepted proposal and these terms form the entire agreement concerning the services and replace earlier representations about the same subject.
Changes to these terms
We may update these terms by publishing a revised version. The version in effect when a proposal is accepted applies to that engagement unless agreed otherwise.
Consent and communications
By submitting your contact information, you consent to communications relating to your enquiry. Marketing messages include opt-out instructions; reply STOP to text messages or use the unsubscribe link in email.
